for bankruptcy remote entities that either own real estate properties
or manage such entities. Such directors or managers are often
required by lenders and/or rating agencies when the loans secured by
the properties are securitized. The company’s organizational
documents typically require the consent of the independent director or
manager to approve bankruptcy filings, dissolution proceedings and
similar type decisions.
Our fee for this type
of service is based on each entity's particular circumstances.
Prior to accepting an appointment as independent director or manager,
the entity’s formation documents are reviewed to ensure the
duties are consistent with the agreed upon services.
